Lead and manage legal aspects of M&A transactions, including due diligence, and post-merger integration;
Draft and review contracts related to M&A, joint ventures, and other key transactions;
Support cluster-based legal team and other departments with guidance on complex legal issues;
Provide strategic legal advice to Function Head and other senior management on critical legal issues;
Ensure compliance with legal and regulatory requirements across all clusters;
Oversee and resolve critical legal matters across all clusters, including litigation and other disputes;
Providing legal guidance in obtaining relevant licenses, permits and certificates in connection with activities of the companies across the Group;
Representing the companies across the Group before state bodies, governmental and non-governmental organizations, notary offices, mediation authorites and courts;
Drafting internal rules, regulations and policies regarding to Legal function, as well as, legal review of other regulations and policies;
Preparation and submission of regular reports to Function Head on status of legal matters;
Other legal tasks that may be assigned by Function Head concerning Group’s companies activities;
Business trips for completing legal tasks, when needed.

Bachelor’s degree in Law; a Master’s degree in Law is preferred;
7 – 10 years of legal experience, preferably in a large-scale organization;
Experience in agricultural or manufacturing industries is an advantage;
Fluent in Azerbaijani and English (both verbal and written), Russian language is an advantage;
Strong knowledge of M&A, corporate governance, commercial law and land plot legislation;
Strong understanding of labor law and employment regulations;
Experience in managing legal due diligence, risk assessments, and compliance audits;
Team management skills;
Excellent written and verbal communication skills;
Strong analytical, communication and interpersonal skills.

Provide commerical, market and competitor analysis, proceed with relevant forecasts, proactively investigate new opportunities and provide recommendations;
Contribute continuous improvements for commercial workflow efficiency and accuracy through process improvements leveraging technological solutions where possible;
Collaborate with sales and trading teams to ensure all necessary information and documentation is received and given to, in order to execute commerce properly;
Collaborate with other analysts and the technology team to enhance tools and processes with a penchant for automation;
Communicate with clients and vendors when business needs arise.
